1. What Clortal is
Clortal is a subscription web application that lets teams share project status, deliverables, files/images, and collect client feedback via a secure portal and tokenized links (the "Service").
2. Who may use Clortal
You must be at least 18 and able to form a contract. You use Clortal on behalf of an organization (an Org). The person creating the Org represents that they have authority to bind it. You are responsible for all activity under your account and Org.
3. Accounts, Organizations & Seats
Each user needs their own account. Seats are per-human; shared logins are not allowed.
Org owners/admins can invite/remove members and control roles.
You must keep credentials and client portal tokens confidential.
4. Subscriptions, Billing & Taxes
Plans: Free, Starter, Pro, and optional add-ons (the "Subscription").
Subscriptions renew automatically at the chosen interval until cancelled.
Payments are processed by Stripe. We do not store card numbers.
Prices are exclusive of applicable taxes unless stated otherwise.
Cancelling takes effect at the end of the current billing period. Downgrades may restrict features/limits immediately.
Refunds are discretionary unless required by law. Contact support for refund requests.
5. Fair Use & Limits
We may enforce plan limits (e.g., seats, active projects, storage) and reasonable use policies to protect the Service for all customers. Excessive or abusive use may result in throttling or suspension.
6. Your Content & Client Data
You retain all rights to files, images, text, and other content you upload ("Customer Content").
You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and create non-human-readable backups of Customer Content solely to provide and maintain the Service.
You are responsible for obtaining necessary permissions from your clients and for the legality of Customer Content.
7. Acceptable Use
Do not use Clortal to:
(a) violate laws or rights of others;
(b) upload malware or attempt to disrupt the Service;
(c) share illegal, infringing, or harmful content;
(d) send spam;
(e) attempt to access others' data;
(f) store special-category personal data or data about children without appropriate safeguards and consent.
8. Privacy & Data Protection
Our Privacy Policy explains how we process personal data as controller for our website/app accounts and as processor for Customer Content. A Data Processing Addendum (DPA) is available upon request and governs our processing of Customer Content on your behalf.
9. Third-Party Services
The Service integrates with third parties (e.g., Stripe for billing, hosting providers for storage/CDN). We are not responsible for third-party terms or availability. Use of third-party services may be subject to their own agreements.
10. Service Changes & Availability
We may change or discontinue features with reasonable notice where practical. The Service may be unavailable during planned maintenance or due to events beyond our control. Beta features are provided "as is."
11. Intellectual Property
We own the Service and all related IP, excluding Customer Content. You may not reverse engineer, decompile, or create derivative works of the Service.
12. Feedback
If you send suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.
13. Warranties & Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law, in no event will our aggregate liability arising out of or related to the Service exceed the amounts paid by you to us for the Service in the 12 months preceding the event giving rise to the claim, or €100 if you have not paid any amounts. We are not liable for indirect, consequential, special, incidental, punitive, or exemplary damages.
15. Indemnification
You will indemnify and hold us harmless from claims, damages, and costs (including reasonable legal fees) arising from (a) your Customer Content; (b) your violation of these Terms; or (c) your use of the Service in breach of law.
16. Suspension & Termination
We may suspend or terminate access for material breach, security risk, non-payment, or as required by law. You may terminate at any time via the Stripe customer portal or by contacting support. Upon termination, your license ends and we may delete Customer Content after a reasonable retention period.
17. Governing Law & Disputes
These Terms are governed by the laws of Denmark, excluding conflict-of-law rules. Courts located in Copenhagen, Denmark have exclusive jurisdiction. If you are an EU consumer with mandatory rights, those rights are not affected.
18. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date. Material changes will be notified in-app or by email. Continued use of the Service after changes means you accept the new Terms.
